1. Parties
This Service Licence Agreement is between A2Z Agentic Solutions Ltd (company number 17483543), registered in England and Wales, and the person or organisation that orders the Service. If you accept on behalf of an organisation, you confirm that you have authority to bind that organisation. Organisation means the account under which one or more named users are licensed.
2. Processing infrastructure
Secure Dedicated Processing Nodes means the Company's processing environment, which may include secure on-premise private infrastructure or ISO 27001-certified UK cloud data centre environments. A move from one such node to another does not change this licence and does not require a new signature, provided processing stays in the United Kingdom. Infrastructure Node means any computing environment the Company uses to run the Service.
3. Licence
We license you, for the subscription term you have paid for, to use A2Zai for your own organisation's process documentation in the United Kingdom. The licence is non-exclusive and non-transferable. We do not sell you the software, the models, or the processing nodes. You may not resell access, share logins outside the named users on your plan, or use the Service to build a competing product.
4. What the Service is
The Service is a non-agentic documentation aid. It proposes a structured Standard Operating Procedure from the transcript you supply. It does not write legal advice, tax advice, HR policy, or any regulated professional content. A named person in your organisation must review the title, summary, prerequisites, and every step against the source transcript before the SOP is exported. That check cannot be switched off. Export approved SOPs as Markdown files for your documentation system. You control the timing and content of every SOP. You retain full responsibility for the accuracy of the SOPs you export and share.
5. United Kingdom boundary
All AI model inference, data processing, and caching for the Service shall occur strictly within the geographic boundaries of the United Kingdom. That obligation keeps processing of customer transcripts inside the United Kingdom for UK GDPR. We will not move inference, processing, or caching of customer transcripts outside the United Kingdom without a written variation of this licence.
6. Capacity and queues
Computing capacity is dynamically distributed sequentially via a First-In, First-Out hardware queue on the Company's secure UK-based processing environment, featuring live countdown queue indicators to manage multi-user transparency. Growth Practice supports up to 3 user logins on that queue, Operations Hub up to 10, and Sole Practitioner supports one named user. Fees and document allowances are those published on the pricing page at the time of the order. We do not promise a maximum wait or that a transcript will be processed in any stated number of seconds.
7. Records we keep
A2Zai is a private SOP computer in the United Kingdom. It keeps a sealed copy of each transcript and a local audit log on this computer's disk. The organisation does not set up or manage a database. You must keep your own copy of each source transcript and of each exported SOP. A2Z Agentic Solutions Ltd acts as the Data Processor under UK GDPR and processes that transcript only to run this desk. All data ingestion, model processing, and text inference occur strictly on our private sovereign UK nodes. Your proprietary data never leaves the UK jurisdiction and is never transmitted to third-party US cloud AI APIs. You retain 100% ownership as the Data Controller. A stored transcript copy is removed when that organisation next opens the desk, if that folder is older than 6 years, unless the organisation deletes the copy sooner. Nothing removes it on a timer while the desk is idle. Removing the copy does not remove the audit log or an exported SOP file.
8. Export
Export approved SOPs as Markdown files for your documentation system. You control the timing and content of every SOP. Exported SOPs are Markdown files you control. The desk does not publish, share, or transmit them to any external system. You are responsible for where you paste or store them.
9. Your duties
You will upload only transcripts you are authorised to process. You will review every generated SOP against the source transcript before exporting it. You will keep your own records. You will not rely on the Service as a substitute for professional judgement, a compliance review, or legal advice.
10. Fees and term
Sole Practitioner is £79 a month for one user and 50 included SOP generations a month. Growth Practice is £149 a month for up to three users and 120 included generations a month. Operations Hub is £299 a month for up to ten users and 300 included generations a month. Generation does not stop at the included allowance: each extra SOP generation in a billing period is metered and invoiced at the plan's published overage rate (£1.50 on Sole Practitioner, £1.20 on Growth Practice, £1.00 on Operations Hub). Sovereign Enterprise is custom pricing arranged directly with us and is not purchased on this page. Fees are payable in advance in pounds sterling; metered overage is invoiced in arrears. There is no setup fee and no minimum term beyond the period you have paid for. You may cancel before the next billing date through the payment provider's customer portal or by written notice. Cancellation stops the next renewal. It does not refund the period already paid, unless the law requires it. Non-payment may suspend access. Suspension does not delete the audit record.
11. Limitation of liability
Nothing in this licence limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be limited under the laws of England and Wales. Subject to that, we are not liable for a client claim or any loss arising from an SOP that you reviewed, exported, or published. We are not liable for loss of profit, loss of goodwill, or loss of data. Our total aggregate liability arising out of this licence is capped at the subscription fees you paid us in the twelve months immediately before the event giving rise to the claim. If you have paid no subscription fees, the cap is zero, except for the liabilities that cannot lawfully be limited.
12. Infrastructure changes
We may move the Service between infrastructure nodes inside the United Kingdom. That move does not require you to sign again. A change to fees, to the United Kingdom boundary, or to the liability cap will be published and will apply to renewal orders. It does not rewrite a period you have already paid for.
13. UK law
This licence is the whole agreement for the Service and replaces earlier marketing descriptions to the extent they conflict with it. It is governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction. A person who is not a party has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce it.
14. How acceptance is recorded
You accept this licence by ticking the box at checkout before payment. We store version 2026-10-29-overage, the time of that tick, and your email or account id with the checkout session. Payment does not start if that acceptance is missing. An older tick does not accept this version. A2Z Agentic Solutions Ltd acts as the Data Processor under UK GDPR. All data ingestion, model processing, and text inference occur strictly on our private sovereign UK nodes. Your proprietary data never leaves the UK jurisdiction and is never transmitted to third-party US cloud AI APIs. You retain 100% ownership as the Data Controller.
